1. Agreement to these terms

These Terms of Service (the “Terms”) govern your use of https://teodorosystems.com, our messaging programs, and any related services (together, the “Services”) provided by Teodoro Systems (“Teodoro Systems,” “we,” “us,” or “our”), a software consulting firm based in Houston, TX. By using the Services or by consenting to receive text messages from us, you agree to these Terms. If you do not agree, please do not use the Services.

2. Our services

Teodoro Systems provides software consulting, design, development, and system integration services, and operates internal applications that support that work. This website provides information about our company and a way to contact us. Work performed for clients is governed by a separate written agreement; nothing on this website constitutes an offer or a binding proposal.

3. SMS text messaging terms

This section describes our automated text messaging program (the “Messaging Program”) and applies to everyone who receives text messages from Teodoro Systems.

3.1 Program description

Teodoro Systems sends automated operational and account notifications to authorized personnel and to clients who have requested them. These messages are transactional and relate to the systems we build and operate. Typical messages include:

• Application and infrastructure alerts, such as notice that a service is down, has recovered, or has crossed an error threshold
• Deployment, build, and scheduled job status notifications
• Security and account notifications, including one-time verification codes
• Notifications generated by internal tools, such as a new inquiry submitted through this website

We do not use the Messaging Program to send marketing or promotional messages.

3.2 How you opt in

We only send text messages to people who have given us their prior express written consent. Consent is collected when an authorized user provides their mobile number and affirmatively agrees to receive alerts — during onboarding to one of our internal tools, in an account or notification settings screen, or in a written request to our team. Consent is never a condition of purchasing any goods or services from us, we never purchase or rent phone numbers, and we never message a number that has not opted in.

3.3 Message frequency

Message frequency varies and depends on the systems you monitor and the events those systems generate. Alerts are event-driven, so there may be no messages for long periods and several messages in a short period during an incident.

3.6 How to opt out

You can cancel at any time by replying STOP to any message from us. We also honor STOPALL, UNSUBSCRIBE, CANCEL, END, and QUIT. After you opt out we will send a single confirmation message and then stop sending messages to that number. To rejoin, reply START or contact us at hello@teodorosystems.com.

3.7 Carriers and delivery

Carriers are not liable for delayed or undelivered messages. Message delivery depends on your carrier and your device, and we cannot guarantee that any message will be delivered or delivered on time. Because of this, the Messaging Program must not be relied on as the sole channel for time-critical or safety-critical notifications.

3.8 Eligibility

To receive messages you must be at least 18 years old, be a resident of the United States, and be the subscriber of, or have authority to use, the mobile number you provide. If you change or give up your mobile number, you agree to notify us promptly so that we do not message the new holder of that number.

3.9 Privacy

Information collected through the Messaging Program is handled as described in our Privacy Policy. We do not sell or share mobile phone numbers or messaging consent with third parties for marketing or promotional purposes.

4. Acceptable use

You agree not to use the Services to break the law, to interfere with or disrupt the Services or the systems that host them, to gain unauthorized access to any account or system, to submit false or misleading information, or to send unsolicited or automated messages through any contact channel we provide.

5. Intellectual property

The content on this website — including text, graphics, logos, and the underlying code — is owned by Teodoro Systems or its licensors and is protected by intellectual property law. You may view and share it for personal or internal business use. You may not reproduce, distribute, or create derivative works from it for commercial purposes without our written permission. Client names and marks shown on this site belong to their respective owners.

6. Third-party services

We use third-party providers to operate the Services, including Twilio for text message delivery, Vercel for hosting, and Google Analytics for website analytics. These providers process data on our behalf under their own terms. This website may also link to sites we do not control, and we are not responsible for their content or practices.

7. Disclaimer of warranties

The Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.

8. Limitation of liability

To the fullest extent permitted by law, Teodoro Systems will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of your use of the Services — including any message that is delayed, undelivered, or misdelivered. Our total liability for any claim relating to the Services is limited to one hundred U.S. dollars ($100). Nothing in these Terms limits liability that cannot be limited under applicable law, and nothing here modifies a separate written agreement between us and a client.

9. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. Material changes to the Messaging Program will be communicated to enrolled recipients. Continuing to use the Services after an update means you accept the revised Terms.

10. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law rules. Any dispute arising from these Terms or the Services will be brought in the state or federal courts located in Harris County, Texas.
